In this role, you’ll be the linchpin in the agreement process, from drafting and reviewing to negotiating and finalizing. Your expertise will be crucial in facilitating research, commercialization, and business agreements that propel TRIUMF’s mission forward.

PRINCIPAL RESPONSIBILITIES:

Reviews, drafts, revises and negotiates various agreements, such as funding agreements (Tri-Agency, other government, foundation, foreign, Canadian and foreign university sub-awards or sub-contracts) and research and commercialization agreements (confidentiality, collaboration, memoranda of understanding, student exchange/hosting, material transfer, licensing, fee-for-service, research sponsorship).
Analyzes, reviews, drafts and revises simple, complex and specialized terms and conditions in agreements that balance TRIUMF’s risk and the needs of our unique customers, both internal and external.
Supports TRIUMF objectives by providing ongoing contracting/legal support to internal and external customers, including communicating and explaining legal, budgetary and compliance issues.
Performs risk analysis of all contractual documents and works proactively with internal stakeholders to initiate creative and effective mitigation plans and solutions.
Identifies the need for compliance reviews by senior management in conjunction with supervisor, and prepares information and documentation for such reviews.
Contributes to process improvement and activities related to the functions of the department.
Administers all contract management processes, including ensuring internal approvals have been obtained, reviewing contracts for completeness and accuracy and arranging for execution of contracts and archival of documents.
Designs/updates/streamlines contracting workflow and processes, manages contracting inbox, data entry, and reporting and analysis.
Analyzes issues, providing possible approaches for addressing or obtaining additional relevant information.
Serves as first-level point of contact for contracting queries.
Maintains and actively supports the review and development of internal contract guidelines, escalation matrixes, contract templates, budget templates and project specific files and databases.
Provides functional guidance and keeps internal and external teams aware of all contract statuses or pending issues, as needed. Prepares correspondence as necessary.
Assist supervisor with the administrative management of TRIUMF’s intellectual property portfolio.
Handles specialized administrative functions, such as entering information into electronic databases and files maintained and utilized by the ORS and organizing and maintaining files subject to attorney client privilege relating to legal matters.
Performs other functions such as proofreading, redlining, preparing documents, maintaining and updating form files, and organizing and maintaining reference materials and databases.
KNOWLEDGE AND SKILLS:

Able to assess, think critically and apply the concepts needed to review and analyze complex terms and conditions in research and non-research agreements.
Able to combine business acumen with risk mitigation abilities.
Strong knowledge of legal and contracting parameters.
Possess strong interpersonal and persuasion skills, and have the ability to interact productively and professionally with a wide range of internal and external stakeholders.
Strong drafting skills in English.
Attention to detail.
Strong organizational, analytical, and problem-solving skills.
Customer-focused and have the flexibility to deal with changing priorities.
Experience with improving contracting processes and making them more efficient.
MINIMUM QUALIFICATIONS AND EXPERIENCE:

A university degree and at least five (5) years relevant experience in contracts management and administration, including the drafting and negotiating research, commercial and other technology-related agreements; OR an equivalent combination of education, training and experience.

Proven experience or knowledge of the university or large science laboratory environment is an asset, as is experience in intellectual property (copyright, trademark and/or patents) and knowledge of U.S. government subcontracting regulations.

 

Applicants must be legally able to work in Canada on a permanent basis (Canadian Citizen or Permanent Resident).

Salary Range:

$77,400.00 – $96,800.00
